UnionPay International Website Usage Terms, Version: Apr. 2018

This Agreement is a valid binding contract concluded by and between UnionPay International Co., Ltd. (hereinafter referred to as UPI) and User with regard to User's registration, login and use of the "UnionPay International Developer Platform" (as defined below).

1. General Provisions

1.1 User shall carefully read and fully understand the terms and conditions of this Agreement, including the exceptions terms that discharge or limit the liability of UPI and terms that limit the rights of User. The registration, login, use and other acts of User shall be regarded as its acceptance of this Agreement and its consent to be bound by the provisions of this Agreement.

1.2 This Agreement may be updated by UPI at any time. The updated Agreement, once published, shall replace the original Agreement without prior notice. User may look up the latest version of this Agreement on this website. If User does not accept the terms revised by UPI, User shall immediately stop using the services provided by UPI; if User continues to use UPI's services after this service terms is revised and announced in our website, User shall be deemed to have fully read, understood and accepted the contents of the revised Agreement and will use UPI's services according to the revised terms.

2. Definitions

2.1 "UnionPay International Developer Platform" (hereinafter referred to as the "Developer Platform") means an electronic system used by UPI to provide users with Internet technical information services as well as information query, download, sandbox environment configuration&testing, and other services in relation to API, technical products and solutions provided by UPI and third-party cooperative institutions.

2.2 "User's Online Orders" mean the query, download and other requests sent by user(s) via Internet to the Developer Platform after logging in to the platform successfully.

3. Account

3.1 Registration

3.1.1 User shall be bound by these service terms after it fills in the required information on the registration page, reads and consents to these service terms and completes all registration procedures, or when it actually uses the website services in such other way as permitted by UPI. User may enter this Developer Platform by using the email address or confirmed by User or such other means as permitted by UPI as a means of login.

3.1.2 User should be a natural person, legal person or other organization (hereinafter collectively the "Legal Entity") with full capacity for civil rights and civil conduct when completing the registration procedures or actually using the website services in such other way as permitted by UPI.

3.1.3 The User who is a minor or a person with restricted civil capacity shall not have the aforesaid subject qualification. User and User's guardians shall bear all the consequences caused by the improper registration behavior of User, and UPI shall have the right to cancel (perpetually freeze) User's account and to claim compensation to User and User's guardians.

3.2 Account ID

3.2.1 User understands and agrees that to ensure the safety of account ID and transaction, UPI has the right to request User to complete the real name authentication, UPI has the right to require User to provide more ID data and information and to perform further authentication or qualification as is necessary for the activation of some products or services. Only by completing such authentication and qualification can User's ID be qualified for the use of relevant products or services.

3.2.2 User shall provide the registration information subject to the requirements of the Development Platform and ensure that such information is complete, accurate and authentic. UPI may vary such information at its own and absolute discretion. In case of any inconsistency and/or inaccuracy, UPI shall be entitled to refuse provide any service under the Development Platform.

4. Basic Rules

4.1 In using the Developer Platform procedures, User shall log in to the website of the Developer Platform (website: https://developer.unionpayintl.com) directly, rather than via the links provided in emails or other websites.

4.2 User fully understands and agrees that the "UnionPay International Developer Platform" provides User with operation information query and event declaration services in the following ways only:
(1) User may view the basic information of User and related parameter information by logging in to the website.
(2) User may view and use the value-added services by logging in to the website.

5. UPI's Rights and Obligations

5.1 UPI has the right to upgrade the Developer Platform.

5.2 If User fails to comply with the relevant regulations of UPI or performs malicious manipulation or defames or impairs UPI's reputation, UPI shall have the right to unilaterally terminate the provision of services to User and shall reserve the right to investigate User's responsibilities. Where User uses UPI's Developer platform to engage in activities that violate the laws and regulations of the state, UPI shall stop providing services to User in accordance with the requirements of the relevant authorities.

5.3 UPI regards all the logins and operations using User's user name and password as User's own actions, and all the resulting electronic information records shall be considered as valid vouchers for the processing of transactions.

5.4 UPI may not and will not be liable for any loss or damage caused due to: 
(1) The improper conduct of User such as the instructions sent by User are vague or incomplete or contain unreadable codes; 
(2) User's failure to properly operate in accordance with the relevant regulations of UPI, User's negligence or other reasons not attributable to UPI; 
(3) force majeure or other circumstances that cannot be controlled or avoided by UPI.

5.5 UPI undertakes to keep User's information confidential and not to disclose User's information to any third party or authorize any third party to use User's information, except that:

5.5.1 User's information may be provided in accordance with these service terms or other service agreements, contracts and online terms concluded by and between UPI and User;

5.5.2 User's information is required to be provided by laws and regulations;

5.5.3 The administrative, judicial and other functional departments require UPI to provide User's information;

5.5.4 User allows UPI to provide User's information to a third party;

5.5.5 UPI submits User's information for the purpose of dealing with complaints and filing a lawsuit;

5.5.6 User's information must be submitted by UPI in taking reasonable actions necessary for preventing serious illegal acts or suspected criminal acts from taking place;

5.5.7 UPI provides a third party with User's information for the purpose of providing products, services and information to User. For example, UPI provides products, services and information to User through the technology and services of a third party.

6. User's Rights and Obligations

6.1 After User reads and agrees with these service terms and completes all registration procedures, User may log in to the Developer Platform with the registered ID and enjoy the corresponding services provided by UPI.

6.2 User agrees and undertakes that the Developer Platform ID shall be owned by UPI, and User is prohibited from giving, borrowing, leasing, transferring or selling the user ID of the Developer Platform.

6.3 User warrants that the data and information it provides is true, accurate and complete. User shall bear all risks and responsibilities arising from any incorrect, false, outdated or incomplete information provided by User.

6.4 User shall keep the security of user name and login password, and shall be solely responsible for all activities done after logging in to the website using User's ID and password. If User suspects that its ID or password is being used by someone else, it shall contact UPI support immediately.

6.5 User undertakes that any data and information obtained from the Developer Platform will only be used for its own business needs and shall be put under strict custody. User is prohibited from providing any data or information obtained from the Developer Platform to any third party for commercial or non-commercial purposes.

6.6 User shall not intentionally defame or impair UPI's reputation or maliciously attack UPI's Developer Platform system.

6.7 User shall not release, distribute any information prohibited by applicable laws. For a severe violation, UPI is entitled to block or close the account concerned.

6.8 If the service functions of Developer Platform that used byUser are involved with UPI's other business regulations or rules, User shall simultaneously abide by such business regulations or rules.

7. Miscellaneous

7.1 The establishment, entry into force, performance and construction of this Agreement shall be governed by the laws of the People's Republic of China; or where no express provisions are provided by laws, by universally-accepted financial and business practices. Any dispute arising out of this Agreement shall be settled by the parties through amicable negotiations; if such negotiations fail, either party has the right to bring a lawsuit to Shanghai Pudong New Area People's Court.

7.2 This Agreement is a supplement to, rather than a substitution of, UPI's other existing agreements and regulations. If there is any conflict between this Agreement and other existing agreements and regulations in terms of Developer Platform transactions, this Agreement shall prevail.

7.3 The Developer Platform services provided by UPI are restricted by the registration status of User. If User exits from the Developer Platform due to client system login failure or for any other reasons, the related services provided by UPI to User will be automatically paused.

7.4 This Agreement shall terminate upon User's completion of the Developer Platform deregistration procedures.

7.5 UPI has the right to suspend or terminate this Agreement if User violates the provisions of this Agreement or other regulations of UPI. The termination of this Agreement shall not be construed as the cancellation of the unfinished business instructions occurred before termination, nor shall it eliminate any legal consequences caused by transactions or acts occurred before termination.

7.6 If any terms of this Agreement is held invalid for any reason, such invalid terms shall not affect the validity of the remaining terms of this Agreement.

7.7 This Agreement enters into force at the time User completes registration.
